Congress passed the Sarbanes-Oxley Act of 2002 to promote effective accounting controls and ethical business practices in response to high-profile accounting scandals such as Enron, WorldCom, and Tyco. The Act requires new executive certifications and filing deadlines and it increases penalties for misconduct. In addition, it focuses heavily on internal financial controls. The Act requires information in the annual report about the effectiveness of internal controls for financial reporting and both the CEO and CFO must now sign-off on all annual reports (they are criminally responsible if they knowingly sign-off on a false report). Accounting and finance departments are responding by changing the way they operate and hiring new staff/consultants to meet deadlines and make sure they get their financial reports right.
