The purpose of this book is to help directors as members of boards of public listed companies focus on what really matters. It is targeted at independent non-executive directors in Asia-Pacific who are having difficulty translating what the codes of Corporate Governance demand of them into behavior that delivers long-term value to their stakeholders, not just shareholders. It may also be of relevance to senior management of multinationals who are working in Asia-Pacific. The book is based on a series of fortnightly 800-word articles the author has been asked to write for the business section of the Star newspaper in Malaysia. These articles have been expanded to discuss and explore further key business issues of the day from an Asian perspective using Asian examples and case studies, wherever possible, or else well-known Western examples so that the readers can make the connections easily between the examples and their personal circumstances. The book consists of nine chapters which are designed to be easy to read and thought provoking at the same time. Each chapter ends with a set of simple takeaways for those who do not have the time to read the main body of the text.

The book covers the related topics of Corporate Governance and Corporate Responsibility as they affect the firms licence to operate, based on the authors experience in Asia. It is designed to cover these topics from a practical, practitioners perspective what boards and their directors should do to promote responsible business. It takes the regulatory perspective which is essentially about reporting and shareholder rights and translates these into actions boards should take to achieve long-term great results. As such it deals with the need to achieve balance between stakeholders, the role of the board in determining strategy and business purpose, effective board behavior explaining that one size does not fit all, and the roles and responsibilities of board members. The book also deals with risk management and appropriate measurements and incentives. It concludes with some ideas that could help save capitalism from its own excesses.
